Buyer: An individual aged 18 years or older, not acting within the scope of a profession or conducting a business when connecting to the website, with whom the Seller enters into an Agreement as defined below.

Order: An order placed by the Buyer in accordance with the procedure described in Article 2.1 for the delivery of one or more Products.

Product: An HNACHI HAIR product that the Seller offers for sale on the Website.

Purchase Price: The price indicated on the Website for a Product, including VAT and shipping fees.

Agreement: The Order, accepted by the Seller as such, as well as the documents mentioned in Article 2.4 of this document.

ARTICLE 1. APPLICABILITY OF THE GENERAL CONDITIONS:

1.1 These General Conditions (hereinafter referred to as the General Conditions) made available to the Buyer on www.hnachihair.com govern Orders, Agreements, and other legal relationships between the Buyer and the Seller regarding the purchase and sale of one or more Products on the Website.

ARTICLE 2. CONCLUSION AND CONTENT OF THE CONTRACT:

2.1 An Agreement will be concluded between the Buyer and the Seller exclusively through the acceptance of an Order (the offer) by the Seller, which was placed on the Website by the Buyer as follows:

• The Buyer selected the desired product and added it to their shopping cart.
• The Buyer followed and completed the following steps:

Step 1: The Buyer provided their contact details and, if the delivery address is different from the billing address, the required delivery address.

Step 2: The Buyer verified the Order details and price and could make corrections if necessary.

Step 3: The Buyer confirmed the Order and expressly accepted these General Terms of Sale.

Step 4: The Buyer selected the preferred payment method and made the payment for the Order.

• The Order was placed.
• The Buyer will receive a confirmation of the placed Order electronically (via the Website).

If the Order is accepted by the Seller, the Seller will send the Buyer confirmation by email as soon as possible after the Order is placed.

2.2 The Seller shall be entitled to refuse the Order placed by the Buyer in the following cases, among others:

– If the information provided by the Buyer is incorrect and/or incomplete, or if the Seller is reasonably entitled to assume this.

– If the Buyer has previously failed to fulfill their payment obligations to the Seller; the Seller will inform the Buyer as soon as possible if an Order is not accepted.

2.3 The Seller will keep the Agreement on file and retain it for a certain period (at least ten years).

2.4 The Agreement, including the privacy policy published on the Website, the General Terms of Use of the website, the Order, and the Order receipt, as well as these General Terms of Sale, constitute the entire Agreement between the Buyer and the Seller regarding the use of the Website and the placement and execution of an Order.

ARTICLE 3. DELIVERY METHOD AND DELIVERY DATES:

3.1 Shipping will be carried out by a carrier designated by the Seller.

3.2 After the Order has been placed, the Seller will deliver the Products as soon as possible, and at the latest within 14 (fourteen) days after the Order is processed by the Seller, to the address specified by the Buyer, provided that the Seller has received full payment of the purchase price during this period.

3.3 The Seller may not deliver the Products or may withhold them if full payment of the corresponding Order has not been made before delivery.

3.4 In case of delayed delivery or if the Order cannot be executed or is partially executed, the Buyer will be informed within 14 (fourteen) days after the Order is placed. In the event of the inability to deliver one or more Products within 7 (seven) days from the date specified by the Seller, when the failure is not due to force majeure, the Buyer will have the option to terminate their Order by registered letter with acknowledgment of receipt within 60 (sixty) days from the date of the indicated delivery. The Seller will inform the Buyer within 14 (fourteen) days in case of inability to deliver the Product(s) due to their unavailability. The Buyer may claim a refund of the Order from the Seller. The Seller will make this refund within 30 (thirty) days from the payment of the Order by the Buyer.

3.5 The risk related to any damage or loss of the Products will transfer to the Buyer from the moment the Products are delivered to the Buyer’s address.

ARTICLE 4. PRICE AND PAYMENT:

4.1 The Purchase Prices indicated on the Website are in Dollars and include Value Added Tax (VAT). The Purchase Prices do not include shipping fees for the Products, which will be added to the total amount due by the Buyer based on the Order. The total Purchase Price of the Products and shipping fees will be notified at the time of placing and confirming the Order.

4.2 The Seller is entitled to adjust the prices indicated on the Website at any time, without prior notice. The prices indicated at the time of placing the Order will be considered as the prices applicable to the Agreement.

4.3 The Purchase Price will be paid in accordance with the payment terms indicated on the Website.

4.4 The Buyer is required to immediately notify the Seller of any errors in the payment details provided to the Seller.

ARTICLE 5. LIMITED RIGHT OF WITHDRAWAL:

5.1 The Buyer does not have the right to return the Product(s) after receipt unless the received Product(s) do not correspond to the Buyer’s request. The Product(s) must be returned within 48 (forty-eight) hours of delivery according to the method indicated by the Seller on the Website, provided that the Product(s) are intact and, to the extent possible, in their undamaged original packaging.

5.2 If the Product(s) arrive damaged upon receipt, the Buyer has the option to request either a replacement or a refund, following the guidelines provided by the Seller on the Website. If the Buyer chooses a replacement, the Seller will exchange the damaged Products for Products in good condition. If the Buyer opts for a refund, the Seller will refund the Purchase Price, including shipping fees, as soon as possible, but in any case, within 30 days of receiving the damaged Product(s).

ARTICLE 6. CLAIMS:

6.1 The contact information of the Seller and third parties engaged by the Seller to handle claims can be found on the Website.

6.2 The Buyer is obligated to inspect the Product(s) upon delivery and notify the Seller within a reasonable period in case of visible defects in the Product(s). Such claims must be submitted in writing and must be fully and clearly motivated.

6.3 The Seller will respond to any claim it receives within 14 (fourteen) days of receipt. The Seller will inform the Buyer within 14 days if it is foreseeable that the claim will require a longer period to be processed, indicating the timeframe within which the Buyer can expect a response.

6.4 The Buyer will fully cooperate in case the Seller recalls a Product. The Buyer will immediately inform the Seller in case the Buyer suspects a Product has a safety defect. The recall of the Product will be at the discretion of the Seller.

ARTICLE 7. INTELLECTUAL PROPERTY:

7.1 All trademarks, product names, logos, patterns, and designs (hereinafter referred to as “Intellectual Property Rights”) represented on the Products or indirectly related to the Products are the property of the Seller or one or more companies within the HNACHI HAIR group. The Buyer acknowledges the Seller’s ownership rights in relation to Intellectual Property Rights and refrains from using, reproducing, modifying, or adapting them in any way, as well as engaging in any conduct that may infringe upon these Intellectual Property Rights.

7.2 The Seller refers to the Terms of Use of the Website regarding intellectual property rights related to the Website.

ARTICLE 8. RISK AND OWNERSHIP:

8.1 Once the Products are delivered, the Buyer assumes responsibility for the Products. Ownership of the Products is transferred only upon receipt of full payment of all amounts due in connection with the Order.

ARTICLE 9. WARRANTY AND LIABILITY:

9.1 In accordance with legal provisions, the Seller is not liable for indirect or consequential damages suffered by the Buyer in connection with the execution of the Agreement.

9.2 The Seller undertakes to either refund the Buyer the price of the Products or exchange the Products for identical Products based on available stock, in case of delivery of non-conforming Products or Products with hidden defects.

9.3 Regarding liability related to the Website and its use, the Seller refers to the Terms of Use of the website.

ARTICLE 10. PERSONAL DATA:

10.1 The Seller will process the Buyer’s data in accordance with applicable data protection regulations and the Privacy Policy.

ARTICLE 11. APPLICABLE LAW AND COMPETENT COURTS:

11.1 The Agreement between the Buyer and the Seller is governed by the laws of the State of Wyoming.

ARTICLE 12. INVALIDITY:

12.1 If a provision contained in these General Conditions is declared invalid, the remaining provisions contained in these Conditions shall nevertheless remain in effect.

ARTICLE 13. AMENDMENTS TO THE GENERAL CONDITIONS:

13.1 The Seller is authorized to modify these General Conditions at any time. The most recent version of the General Conditions will be posted on the Website. The Buyer accepts these General Conditions in order to finalize the Order. If the Buyer is unable to access the General Conditions on the Website, the Seller will send a copy of the most recent version of the General Conditions to the Buyer upon request by email.
